Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Wanderlane B.V., a company registered in the Netherlands with registration number 60392847 and VAT number NL875904632B01 ("Wanderlane," "we," "us," or "our"). By accessing our website wanderlane.world, engaging our construction services, or entering into any agreement with Wanderlane, you acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms apply to all users of our website, clients who engage our construction services, and any other parties who interact with Wanderlane in a professional capacity. If you do not agree with any part of these Terms, you must not use our website or engage our services.

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

Description of Services

Wanderlane provides professional general contracting and construction services throughout the Netherlands, including but not limited to:

  • Residential construction and custom home building
  • Commercial building and construction services
  • Renovation and remodeling projects
  • Home additions and extensions
  • Project management and construction consultation
  • Emergency construction and repair services

All services are provided in accordance with applicable Dutch construction standards, building codes, and industry best practices. Specific terms for individual projects will be outlined in separate service agreements or contracts.

We reserve the right to refuse service to any party at our discretion, particularly if we determine that a project is outside our expertise, violates applicable laws, or presents unreasonable safety or legal risks.

Client Obligations and Responsibilities

When engaging Wanderlane's services, clients agree to fulfill the following obligations:

  • Accurate Information: Provide complete, accurate, and truthful information about project requirements, site conditions, budget constraints, and timeline expectations.
  • Site Access: Ensure safe and reasonable access to the construction site during agreed working hours and provide necessary utilities and facilities as specified in the project agreement.
  • Permits and Approvals: Assist in obtaining necessary building permits, approvals, and regulatory compliance documentation, unless otherwise specified in the service agreement.
  • Payment Terms: Make payments according to the agreed schedule and terms outlined in the project contract or service agreement.
  • Safety Compliance: Maintain a safe environment and comply with all safety requirements and instructions provided by Wanderlane personnel.
  • Communication: Respond promptly to requests for information, approvals, or decisions that may affect project progress or quality.

Failure to meet these obligations may result in project delays, additional costs, or termination of services, for which Wanderlane shall not be held liable.

Intellectual Property Rights

All intellectual property rights in and to Wanderlane's website content, construction methodologies, proprietary designs, business processes, and materials are owned by Wanderlane or our licensors. This includes but is not limited to:

  • Website content, design, and functionality
  • Construction plans and designs created by Wanderlane
  • Proprietary construction techniques and methodologies
  • Business processes and operational procedures
  • Marketing materials and brand elements
  • Software, tools, and technical documentation

Clients are granted a limited, non-exclusive license to use construction plans and designs created specifically for their project. This license does not include the right to reproduce, modify, or distribute these materials for other projects or commercial purposes without written consent.

Any improvements, modifications, or derivative works created during the course of a project that incorporate Wanderlane's intellectual property shall remain the property of Wanderlane, unless otherwise specified in writing.

Clients retain ownership of their original concepts, ideas, and specifications provided to Wanderlane, but grant us a license to use such materials solely for the purpose of completing the contracted services.

Payment Terms and Conditions

Payment terms for Wanderlane services are specified in individual project contracts and may vary based on project scope, duration, and complexity. General payment principles include:

  • Payment Schedule: Payments are typically structured according to project milestones or periodic intervals as specified in the service agreement.
  • Currency: All payments must be made in Euros (EUR) unless otherwise agreed in writing.
  • Late Payments: Late payments may incur interest charges at the rate permitted by Dutch law and may result in suspension of work until payment is received.
  • Additional Work: Any work beyond the original scope requires written approval and will be billed according to agreed rates.
  • Taxes: All prices are exclusive of VAT and other applicable taxes, which will be added as required by law.

In the event of non-payment, Wanderlane reserves the right to suspend work, terminate the contract, and pursue legal remedies for collection of outstanding amounts, including reasonable attorney fees and court costs.

Limitation of Liability

To the fullest extent permitted by Dutch law, Wanderlane's liability for any claims, damages, or losses arising from our services is limited as follows:

Total Liability Cap: Our total liability for any project shall not exceed the total amount paid by the client for that specific project, regardless of the legal theory under which liability is claimed.

Excluded Damages: Under no circumstances shall Wanderlane be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, loss of data, or loss of business opportunities.

Third Party Claims: Wanderlane shall not be liable for damages caused by third parties, including subcontractors, suppliers, or other parties not under our direct control, except to the extent required by law.

Force Majeure: We shall not be liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, or material shortages.

These limitations apply regardless of whether Wanderlane has been advised of the possibility of such damages and shall survive termination of any agreement between the parties.

Warranties and Disclaimers

Wanderlane provides limited warranties on our construction work as follows:

Workmanship Warranty: We warrant our workmanship against defects for a period of one year from project completion, subject to normal wear and tear and proper maintenance by the client.

Materials Warranty: Materials are warranted according to manufacturer specifications. We will assist clients in pursuing warranty claims but are not responsible for manufacturer defects beyond our control.

Excluded Items: Warranties do not cover damage caused by misuse, neglect, normal wear and tear, natural disasters, or modifications made by others.

Disclaimer: Except as expressly stated herein, all services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

Our warranty obligations are limited to repair or replacement of defective work at our discretion. This warranty is the sole remedy for warranty claims and is in lieu of all other warranties, express or implied.

Termination Provisions

Either party may terminate a service agreement under the following circumstances:

Termination for Convenience: Either party may terminate the agreement with thirty (30) days written notice. In such cases, the client shall pay for all work completed and materials ordered up to the termination date.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches the agreement and fails to cure such breach within fifteen (15) days of written notice.

Termination for Non-Payment: Wanderlane may terminate immediately if payment is more than thirty (30) days overdue, without prejudice to other remedies.

Effect of Termination: Upon termination, Wanderlane will cease work, secure the site as reasonably possible, and provide an accounting of work completed and materials on hand. The client remains liable for all charges incurred through the termination date.

Termination does not relieve either party of obligations that accrued prior to termination or affect provisions that by their nature should survive termination.

Governing Law and Jurisdiction

These Terms and any disputes arising from or related to Wanderlane's services shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the competent courts of the Netherlands, and the parties hereby consent to the personal jurisdiction and venue of such courts.

Dispute Resolution: Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, disputes may be submitted to mediation through a recognized Dutch mediation service.

For international clients or projects, these Terms shall still be governed by Dutch law, but specific dispute resolution mechanisms may be modified by mutual agreement in the service contract.

General Provisions

Entire Agreement: These Terms, together with any applicable service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

Waiver: No waiver of any provision of these Terms shall be deemed or shall constitute a waiver of any other provision. Any waiver must be in writing and signed by the party against whom it is claimed.

Assignment: Clients may not assign their rights or obligations under these Terms without Wanderlane's written consent. Wanderlane may assign these Terms in connection with a sale of business or assets.

Notices: All notices required under these Terms must be in writing and delivered to the addresses specified in the service agreement or as updated by written notice.
